Ownership and Operation

The Scalebrate website and services are owned and operated by Gravity Conservation LLC. Scalebrate is a Gravity Conservation LLC organization.

By accessing or using this site, you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, please do not use the site.

Acceptable Use

You agree to use the Scalebrate site and services in compliance with all applicable laws and regulations. You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Harass, abuse, or harm other members
• Distribute spam, malware, or malicious content
• Attempt to gain unauthorized access to systems or data
• Scrape, data mine, or systematically extract content without permission
• Impersonate others or misrepresent your affiliation
• Use the service for illegal, fraudulent, or harmful purposes

Membership Terms

Access and Benefits

Membership grants you access to Alliance frameworks, community discussions, research reports, and member-only initiatives. We reserve the right to modify, update, or discontinue features at our discretion.

Payment and Billing

Membership fees are billed annually at $995/year unless otherwise specified. Payments are processed through third-party payment processors. All fees are in USD.

Cancellation and Refunds

You may cancel your membership at any time. Cancellation takes effect at the end of your current billing period. Refund eligibility is determined on a case-by-case basis. Contact membership@scalebrate.com for refund requests.

Changes to Membership

We may modify membership pricing, benefits, or structure with reasonable notice to existing members. Price increases for existing members will be communicated at least 30 days in advance.

Intellectual Property

Our Content

All content provided by Scalebrate—including frameworks, playbooks, research, logos, and materials—is owned by Gravity Conservation LLC and protected by copyright and other intellectual property laws.

Members may use Alliance content for personal and business purposes but may not redistribute, resell, or claim it as their own work. Attribution to Scalebrate is required when sharing content publicly.

Your Content

When you post content to community discussions or share materials with the Alliance, you retain ownership but grant us a license to use, display, and distribute that content within the Alliance ecosystem.

No Guarantees of Outcomes

Scalebrate provides frameworks, community, and research. We do not guarantee any specific business outcomes, revenue results, or success.

Frameworks and advice are provided for informational purposes. Implementation results depend on your specific context, execution, and market conditions. You are solely responsible for decisions you make based on Alliance content.

Disclaimers

The site and services are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the site will be uninterrupted, error-free, or completely secure. We are not responsible for content posted by members or third parties.

Limitation of Liability

To the fullest extent permitted by law, Gravity Conservation LLC and Scalebrate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the service
• Any unauthorized access to or alteration of your data
• Any third-party conduct or content on the service
• Any business decisions made based on Alliance content or advice

Our total liability shall not exceed the amount you paid for membership in the 12 months prior to the claim.

Indemnification

You agree to indemnify and hold harmless Gravity Conservation LLC, Scalebrate, and their affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the service, violation of these terms, or infringement of any rights of another party.

Termination

We reserve the right to suspend or terminate your access to the site and membership at any time, with or without cause, with or without notice. Reasons for termination may include violation of these terms, abusive behavior, fraud, or other misconduct.

Upon termination, your right to access member content and community immediately ceases.

Governing Law and Disputes

These Terms of Use shall be governed by and construed in accordance with the laws of the state of Maryland, without regard to its conflict of law provisions.

Any disputes arising from these terms or your use of the service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, or in the courts of Maryland.

Changes to These Terms

We may update these Terms of Use from time to time. We will notify members of material changes via email at least 30 days before they take effect. Continued use of the service after changes indicates acceptance of the updated terms.

If you do not agree to the updated terms, you may cancel your membership.

Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and Gravity Conservation LLC regarding use of the Scalebrate site and services.
